Terms of Service — Autonemo Limited

The service

VMS Pro is a subscription vehicle, fleet and fuel-station management system supplied by Autonemo VMS Pro. The mobile apps are companions to it and need an active account on a subscribing company.

Accounts

Accounts are issued, not opened Your employer creates and withdraws your account. We do not create accounts for individuals directly.

Your credentials are yours to protect Do not share a login. Where a first password is derived from a mobile number, change it. Anything done through your account is treated as done by you.

Tell someone quickly If you think your account has been used by someone else, tell your administrator at once.

Acceptable use

Use it for the work it is for Do not use the service to break the law, or to store data unrelated to your company's operations.

Do not attack it No probing, reverse engineering for circumvention, credential stuffing, or attempts to reach another company's data.

Enter data honestly Meter readings, cash counts and stock figures are accounting records. Entering them falsely may be a matter between you and your employer, and in some cases a legal one.

Accuracy and responsibility

The system calculates from what is entered into it. An opening meter reading typed wrongly makes every figure derived from it wrong, and the software cannot detect that. Reports, reconciliations and balances are a reflection of your own data, and checking them remains your company's responsibility.

GPS position and mileage come from consumer-grade hardware and mobile networks. They are good enough to manage a fleet, and not a legally certified measurement.

Availability

We aim to keep the service running continuously and to give notice before planned maintenance. We cannot promise uninterrupted service: networks, datacentres, payment gateways and SMS providers all fail from time to time.

Offline capability in the mobile apps is a convenience, not a guarantee. Let queued work sync before uninstalling an app or wiping a phone.

Subscription and fees

Fees, billing cycle and vehicle limits are agreed with each subscribing company. Non-payment may lead to suspension after notice. The apps themselves are free to download; they are of no use without a subscription.

Liability

The service is provided as it is. To the extent the law allows, our liability to a subscribing company is limited to the fees that company paid in the twelve months before the claim, and we are not liable for indirect or consequential loss, including lost profit or lost data where the loss was not caused by our negligence.

Nothing here limits liability that cannot lawfully be limited.

Ending it

A company may end its subscription in line with its agreement with us. We may suspend an account that is being used to attack the service or break the law. On termination, data is handled as set out in the Privacy Policy and the Data Deletion page — including your right to ask for an export before it goes.

Governing law

These terms are governed by the laws of Bangladesh, and the courts of Bangladesh have jurisdiction.
